These General Terms and Conditions of Sale ("GTC") apply specifically to sales of products made remotely via the French e-commerce website ("Site") at https://ulvenovatos.com/, whose registered office is located at 12951 Briar Forest Dr Apt 1301, Houston, Tx 77077 United States, Clayton United States ("Seller"), and to any natural or legal person ("Buyer") who places an order via the Site.

Any order placed on the Site implies the unreserved acceptance by the Buyer of these GTC, which prevail over any other document, including any catalogue, prospectus or commercial communication from the Seller. The Seller reserves the right to modify these GTC at any time, the modifications taking effect immediately on the Site; the applicable GTC are those in force on the day the order is placed by the Buyer.

Article 1 – Purpose of the GTC

The purpose of these GTC is to define the rights and obligations of the parties in connection with the online sale of products offered by the Seller on its Site, as well as the terms and conditions for placing, confirming, paying for, delivering and cancelling orders. They apply to all sales made on the Site, without exception or restriction.

Article 3 – Products offered for sale

The products offered for sale on the Site are described precisely in the corresponding product sheets, including their essential characteristics, their composition, their price and their possible restrictions. The Seller endeavours to ensure the accuracy of the information and visuals presented on the Site, nevertheless minimal differences may appear between the actual product and its visual representation, particularly in terms of colour.

Products are offered while stocks last. In the event of unavailability of a product after validation of the order, the Seller will inform the Buyer by e-mail as soon as possible and will proceed to the cancellation and full refund of the sums paid for the unavailable product, without additional charges.

Article 4 – Product prices

All prices indicated on the Site are in Euros (€), all taxes included (TTC), including VAT at the rate in force in France. Delivery, processing or postage costs are indicated separately before the order is validated and are added to the price of the products.

The Seller reserves the right to modify prices at any time, without prior notice; the applicable price is that indicated on the Site at the time the order is placed by the Buyer. Promotions, discounts and special offers are valid while stocks last and for the period indicated on the Site.

Article 5 – Order placement

The Buyer places an order on the Site by following these steps:

1. Selection of desired products and addition to the shopping cart;

2. Checking the order details and possibly modifying the cart;

3. Filling in delivery and billing details;

4. Express acceptance of these GTC;

5. Validation and payment of the order.

After validation of the payment, the Seller sends the Buyer an order confirmation e-mail, summarising all the order details (products, prices, delivery costs, contact details). This e-mail constitutes proof of the conclusion of the sales contract between the parties.

The Seller reserves the right to cancel any suspicious, fraudulent or non-compliant order to these GTC, particularly in the event of non-compliance with the terms of sale, without compensation or indemnity.

Article 6 – Payment methods
Payment for the order is made in full at the time of validation, via the payment methods offered on the Site (credit cards, secure online payment, etc.). All payments are made via secure payment platforms, in accordance with current banking and European regulations.

The Buyer guarantees that they have the necessary rights to use the selected payment method. In the event of payment refusal by the banking institution, the order will be automatically cancelled.

Payment data is encrypted and is under no circumstances retained or used by the Seller for commercial purposes, in accordance with GDPR regulations.

Article 7 – Product delivery

Products are delivered to the delivery address indicated by the Buyer when placing the order, within the time indicated on the product sheet and when validating the order. Delivery times are calculated from the date of order confirmation by the Seller.

Delivery costs are borne by the Buyer, unless otherwise indicated and promotional offer from the Seller. The Seller makes every effort to meet the agreed delivery times; however, delays may be extended in case of force majeure, strike, exceptional weather conditions or any event beyond the Seller's control.

The Buyer is required to check the condition of the package upon receipt. In the event of a damaged package, loss or missing content, the Buyer must make a written reservation to the carrier within 48 hours of receipt, and inform the Seller by e-mail within the same period.

Article 8 – Right of withdrawal and returns

In accordance with article L.221-18 of the Consumer Code, the buyer has a right of withdrawal allowing them to exercise their right of withdrawal within thirty (30) calendar days from the date of receipt, without having to give reasons or pay penalties.

To exercise this right, the buyer must send a withdrawal request to the seller by email and return the item in its original packaging, in perfect and unused condition, within thirty (30) days from the notification of their withdrawal to the seller. Personalised products, perishable products, unsealed audio or video products are not subject to the right of withdrawal, in accordance with current legislation.

Article 9 – Legal guarantees

The Seller is subject to the mandatory legal guarantees provided for by the Consumer Code and the Civil Code, in particular:

- The guarantee of conformity of products, for a period of two years from delivery;

- The guarantee against hidden defects making the product unfit for its intended use.

In the event of non-conformity of the product, the Buyer may request repair or replacement of the product, failing which a price reduction or resolution of the contract and full refund. The Buyer must inform the Seller of the lack of conformity within a reasonable time.

Article 10 – Intellectual property
All elements of the Site (texts, images, visuals, logos, graphics, databases) are the exclusive property of the Seller or its partners, and are protected by French and international intellectual property law. Any reproduction, representation, modification or total or partial exploitation of these elements is strictly prohibited without prior written authorisation from the Seller.

Article 11 – Personal data protection

The Seller collects and processes the Buyer's personal data in accordance with GDPR regulations (General Data Protection Regulation) and the Data Protection Act. The data collected is exclusively used for order processing, product delivery, customer relationship management and invoicing.

The Buyer has a right of access, rectification, deletion, limitation and portability of their personal data, which they can exercise by e-mail addressed to the Seller. For more details, the Buyer can consult the Site's Privacy Policy.

Article 12 – Liability

The Seller's liability is limited to direct and foreseeable damages resulting from the performance of this sales contract. The Seller cannot be held responsible for indirect damages (loss of profit, business disruption, etc.) related to the use of the ordered products.

The Seller is not responsible for failures resulting from the Buyer's fault, an event of force majeure or an event beyond its control.

Article 13 – Disputes and applicable law

These GTC are governed by French law. In the event of a dispute relating to the interpretation or performance of these GTC, the parties will endeavour to resolve the dispute amicably. Failing this, the dispute will be brought before the competent courts of [City of the Seller's registered office].

The Buyer may also resort to consumer mediation or any other alternative dispute resolution method in accordance with current legislation.

Article 14 – General provisions

If one or more clauses of these GTC are declared null or unenforceable, they will be deemed unwritten without affecting the validity of the other clauses.

The fact that the Seller does not avail itself of one or more provisions of these GTC does not constitute a waiver of the right to avail itself of these provisions later.
